Terms of Service
Effective date: October 1, 2026
These Terms of Service govern your use of the InfraLock Systems website and any managed IT services provided by InfraLock Systems LLC. Please read them carefully before engaging our services.
1
Acceptance of Terms
- By accessing our website or engaging InfraLock Systems for managed IT services, you agree to be bound by these Terms of Service and our Privacy Policy.
- If you are entering into these terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
- We reserve the right to update these terms at any time. Continued use of our services after notice of changes constitutes acceptance of the revised terms.
2
Services Description
- InfraLock Systems provides managed IT security, network infrastructure, cloud computing, and data protection services to business clients.
- Specific service scope, deliverables, SLAs, and pricing are defined in individual Master Service Agreements (MSAs) and Statements of Work (SOWs) executed between InfraLock and each client.
- Services described on this website are illustrative. Actual service delivery is governed exclusively by the executed agreement between the parties.
3
Client Responsibilities
- Clients must provide accurate information in quote requests, support tickets, and onboarding documentation. Inaccurate information that affects service delivery is the client's responsibility.
- Clients are responsible for maintaining administrative access credentials to their own systems and for promptly notifying InfraLock of any unauthorized access.
- Clients must not use InfraLock's services or infrastructure to conduct illegal activities, distribute malware, or violate third-party rights.
4
Service Level Commitments
- Response time SLAs (including our published <1 hour critical response target) apply to clients with active MSAs and are measured from ticket creation during covered hours.
- SLA credits, if applicable, are defined in the individual MSA. Credits are the sole remedy for SLA misses and do not constitute an admission of liability.
- Force majeure events — including ISP outages, natural disasters, and third-party infrastructure failures outside InfraLock's control — are excluded from SLA calculations.
5
Intellectual Property
- All content on this website — including text, graphics, logos, and code — is the property of InfraLock Systems LLC and protected by applicable copyright and trademark law.
- Custom configurations, scripts, and documentation created by InfraLock for a client engagement are licensed to that client for use within their environment. InfraLock retains ownership of underlying methodologies and tooling.
- You may not reproduce, distribute, or create derivative works from our website content without prior written consent.
6
Confidentiality
- Both parties agree to maintain the confidentiality of non-public information shared during the service engagement, including technical architecture details, pricing, and business processes.
- Confidentiality obligations survive termination of the service agreement for a period of three (3) years, except for information that becomes publicly available through no fault of the receiving party.
7
Limitation of Liability
- To the maximum extent permitted by law, InfraLock's aggregate liability for any claim arising from these terms or a service engagement shall not exceed the fees paid by the client in the three (3) months preceding the claim.
- InfraLock is not liable for indirect, incidental, consequential, or punitive damages, including lost profits or data loss, even if advised of the possibility of such damages.
- Nothing in these terms limits liability for fraud, gross negligence, or willful misconduct.
8
Termination
- Either party may terminate a service engagement as specified in the applicable MSA. Termination of the MSA does not affect obligations accrued prior to termination.
- InfraLock may suspend or terminate access to services immediately if a client breaches these terms, fails to pay invoices, or engages in conduct that poses a security risk.
- Upon termination, InfraLock will provide a reasonable transition period and return or destroy client data as specified in the MSA.
9
Governing Law and Disputes
- These terms are governed by the laws of the United States. Any disputes shall first be subject to good-faith negotiation between the parties.
- If negotiation fails, disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association, conducted in English.
- Nothing prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.
